1.NiceTalk, developed by Hangzhou Feizhu Technology Co., Ltd, is China’s first language learning platform that provides Chinese users instant access to a native English tutor over video chat 24/7. We feel the best way to enhance language abilities is by having students chat with fluent speakers in an informal setting.
2. By registering for a user account as a NiceTalk tutor, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to all of the terms and conditions of this agreement, then please do not click “CREATE AN ACCOUNT,” in which case you will not be able to use the service, site or App. Note to kids under 16 years of age: The Service, Site and App are not for persons under the age of 16. If you are under 16 years of age, then please do not use the service, site or App. Talk to your parents about what sites are appropriate for you.
3. NiceTalk Users can use each individual service provided by NiceTalk whereas such use shall be construed and understood as the user’s consent to the service agreement of each individual NiceTalk service and all other announcements published by NiceTalk for each individual service.
4. NiceTalk may update the User Agreement and announcements for each individual service at any time without special notice. Please pay attention to and comply with the relevant applicable provisions when you enjoy certain services.
1. Registration in bad faith is not allowed. Feizhu reserves the right to make judgment and handle this behavior independently.
2. The NiceTalk account can only be used by the initial registrant. It is not allowed to be presented as a gift, lent, rented, transferred or sold. If Feizhu finds that the NiceTalk account is not being used by the initial registrant, Feizhu is entitled to reclaim the said NiceTalk account, without bearing any legal liability to the said user. The User shall bear the losses including, but not limited to, communication interruption, information and game item missing caused by the foresaid cases.
3. In order to prevent disputes on the NiceTalk account, the User is not allowed to privately transfer the NiceTalk account for the purpose of profit or nonprofit; the User shall bear all possible losses arising from the breach of this requirement. Further, Feizhu reserves the right to investigate legal responsibilities of the above actors.
4. NiceTalk User’s shall be bound by the laws and regulations of People’s Republic of China (“P.R.C.”) when using video chatting service and other services provided by NiceTalk and shall not utilize the service for any illegal activities, including but not limited to:
a. Upload, display, post, spread or send in any other manner any information that:
(1) damages the honor and interests of the State;
(2) incites ethnic hatred or ethnic discrimination, or undermines ethnic unity;
(3) jeopardizes the State’s religious policies, or advocates cults and superstition;
(4) spreads rumors, disturbs social order, or undermines social stability;
(5) spreads obscenity, pornography, gambling, violence, murder, terrorism, or instigates others to commit crimes;
(6) insults or slanders others, or infringes upon the legal rights of others;
(7) incites illegal assembly, association, procession, demonstration or gathers crowds to disturb social order;
(8) works under the name of illegal non-governmental organizations;
(9) is false, harmful, threatening, privacy infringing, or contains contents of harassments, infringements, defamations, vulgarity, or obscenity, or is otherwise morally objectionable, lack of aesthetic, unsuitable with fine custom;
(10) contents include without limitation to those corrupting social customs and violating basic moral principles.
b. Internet service system shall not be utilized for any illegal purposes;
c. All relevant agreements, regulations and procedures to internet service shall be abided by;
d. No services provided by this product shall be utilized to do conduct any behaviors that are likely to result in adverse effects;
e. No services provided by this product shall be utilized to do conduct any behaviors that are detrimental to FeiZhu;
f. If illegal utilization of user accounts and account bugs are detected, they shall be reported to the operator of this product;
g. If users are found violating any articles above mentioned while utilizing internet service, FeiZhu reserves the right to ask the user concerned to correct it or take all necessary measures (including without limitation to) to mitigate the adverse effects resulting from users’ misbehaviors;
h. With using relevant tools such as website and software, FeiZhu will issue, update and amend relevant standards for users’ adverse behaviors, and users agree to accept these standards so as to create a healthy internet environment. Therefore, users shall not issue any vulgar contents including without limitation to:
(1) Showing intolerable images for the public such as untidy dressing, incivility, indecency and insalubrity;
(2) Broadcasting or using immoral words and behaviors, indecent background music or accompanying music;
(3) Showing Naked body or parts of the body such as breasts, hip and inner thighs;
(4) Showing or shaking guns, highly imitated guns and cutting tools and delivering highly dangerous performance;
(5) Delivering shows detrimental to others such as beating and threatening with guns and cutting tools;
(6) Propagating multi-level marketing agencies, coaxing users to join those agencies or organizing multi-level marketing activities;
(7) Broadcasting shows of damaging oneself such as suicide and autotomy.
1. Users shall consent to Feizhu recording and saving video chat sessions. Users agree that Feizhu has the permanent, irrevocable, nonexclusive and complete sub-license right and permission across the world to any session recording.
2. Users agree and have the right to consent to the video chatting objects to share, forward and use such recording for profit or nonprofit purposes. Feizhu shall not be responsible for any any disputes between users and any third party.
3. The above authorization made by users to Feizhu is exclusive. No third party, except Feizhu and NiceTalk users, shall, including but not limited to copy, modify, edit, transfer and use such recording. Users consent to authorize Feizhu to carry out legal actions to third parties in order to safeguard the legitimate rights and interests of users and Feizhu.
4. In order to operate and improve the technology and services of this product, Feizhu might collect and use, or provide non-privacy information to third parties, which will help improve users with a better user experience and our service quality.
5. In general, Feizhu may use the User's personal information for the following reasons:
(1) to carry out the Software verification service; to upgrade the Software service;
(2) to improve the security of the User's use of the Software and provide customer support;
(3) to provide service notice or information that the user is interested in, including, but not limited to, notice about the App and services;
(4) Use all kinds of non-privacy data for commercial purposes including, but not limited to, value-added services offered to a third party, advertising, advertising positioning, marketing, joint registration of other services, sales promotion or any other activity (jointly called as "Commercial Activities");
(5) to help manage promotion activities, including, but not limited to competition, and raffle;
(6) other reasons for the interests of the user or improving the App and internet services.
6. Feizhu and its affiliates can share users’ information and use the information in accordance with this privacy policy. On the premise that no privacy information of a single user is disclosed, Feizhu is entitled to analyze and make commercial use of the whole database of users’ information.
1. Earnings: When you talk to a paying NiceTalk user on the App, you get paid for each full minute you spend talking to them. You get paid $0.17/minute.
2. Payday: Generally you receive money on Thursday or Friday; If a payday falls on a Chinese national holiday, the transfer will be delayed accordingly. Feizhu will not be liable for any payment delay due to bank, tax, or other reasons.
3. Payment method: Payment will occur through Paypal.
4. In terms of payments, including but not limited to payment earnings, payday, and payment method, Feizhu has the right to make changes in accordance with the market and company operation.
1. Users explicitly agree to assume the risk existing in the use of any service from NiceTalk. Any consequence from using the App is at your own risk, and Feizhu is not responsible for it.
2. Feizhu does not guarantee the service will meet users’ demand, nor ensure that the network services will not be interrupted or the timeliness, security, accuracy of the network services.
3. Feizhu shall bear no liability for the suspended network service or other problems because of force majeure events or any reasons beyond Feizhu’s control.
1. If suspending service is required for system maintenance or upgrading, Feizhu will notify users in advance on banner notice.
2. In the event any of the following circumstances, Feizhu reserves the right to suspend or terminate the service under this Agreement without notice：
a. Provide false personal information
b. Users violate the provisions under this Agreement
c. Users not pay the service charge according to relevant clause when using network service provided by Feizhu
3. In addition to the situations described in the preceding paragraph, Feizhu reserves the right to suspend or terminate some or all of the network services without prior notice at any time (with justification); Feizhu will not be liable for any loss caused by that to any user or third party.
1. Users agree to protect and maintain the interests of Feizhu and other users, and will be liable for the breach compensation as a result of violating relevant laws, regulations or any provision under this Agreement.
2. Under the circumstances agreed by users and permitted by law, Feizhu pays any or total compensation due to breach of this agreements, which should not exceed users’ service charge of this product.
1. The Laws of the People's Republic of China shall prevail when dealing with the conclusion, implementation and interpretation of this Agreement, and any dispute or settlement arising thereof.
2. Where the parties have any disagreement as to the implementation or interpretation of this Agreement or its execution, both sides should settle such disagreement through friendly consultations; where negotiation fails, either party shall only bring a court action in the People’s Court located in Feizhu’s domicile.
1. Except as explicitly stated otherwise, legal notices shall be served on you to our website, e-mail address or mailing address. Such notice shall be considered to be received by you when it is posted to our website or email to you. If the notice is sent by mail, we will consider it to have been received by you seven business days after it is sent.
2. Please send notice to Feizhu if you find any violation of the Agreement and/or any other individual service's Terms of Service. You may contact Feizhu via email support@nicetalk.com
1. Where Feizhu does not exercise or execute any right or provision under the Agreement, such act or non-act shall not constitute a waiver of any such right.
2. If any portion of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
3. This Agreement is drafted in both Chinese and English. In the event that there is a dispute between the parties arising out of this Agreement or as to the interpretation or meaning of this Agreement, the Chinese version shall govern in interpretation and in all other respects.
1. “老外趣聊”（以下简称”本产品）是杭州菲助科技有限公司旗下一款英语学习软件,本产品致力于打造国内学生与国际外教无障碍沟通平台，搭建不同语系语言学习者的交流桥梁，实现英语线上教育的规模推广。
2. 在您使用本产品注册成为菲助外教之前，请务必审慎阅读、充分理解各条款内容，特别是免除或者限制责任的条款，并选择接受或不接受。同时，在本产品的教师端注册账号、申请成为外教的年龄限制为年满16周岁。除非您已阅读并接受本规则所有条款，否则您无权注册或使用本产品的用户账号。您注册或使用本产品用户账号的行为即视为您已阅读并同意受本规则的约束。
3. 用户可以使用本产品各频道单项服务，当用户使用本产品各单项服务时，用户的使用行为视为其对该单项服务的服务条款以及在该单项服务中发出的各类公告的同意。
4. 本产品用户协议以及各个频道单项服务条款和公告可随时更新，且无需另行通知。您在使用相关服务时，应关注并遵守其所适用的相关条款。
1. 用户不得恶意注册账户。菲助可以对恶意注册的行为进行独立的判断和处理。
2. 帐号使用权仅属于初始申请注册人，禁止赠与、借用、租用、转让或售卖。如果菲助发现使用者并非帐号初始注册人，菲助有权在未经通知的情况下回收该帐号而无需向该帐号使用人承担法律责任，由此带来的包括并不限于用户通讯中断、用户资料和金额等清空等损失由用户自行承担。
3. 菲助禁止用户私下有偿或无偿转让帐号，以免因帐号问题产生纠纷，用户应当自行承担因违反此要求而遭致的任何损失，同时菲助保留追究上述行为人法律责任的权利。
4. 用户在使用本产品提供的视频聊天等服务的过程中，必须遵循以下原则：
a. “本产品的所有用户不得以任何方式发送任何含有下列内容之一的信息：
1) 损害国家荣誉和利益的；
2) 煽动民族仇恨、民族歧视，破坏民族团结的；
3) 破坏国家宗教政策，宣扬邪教和封建迷信的；
4) 散布谣言，扰乱社会秩序，破坏社会稳定的；
5) 散布淫秽、色情、赌博、暴力、恐怖或者教唆犯罪的；
6) 侮辱或者诽谤他人,侵害他人合法权益的；
7) 煽动非法集会、结社、游行、示威、聚众扰乱社会秩序的；
8) 以非法民间组织名义活动的；
9) 含有虚假、有害、胁迫、侵害他人隐私、骚扰、侵害、中伤、粗俗、或其它道德上令人反感的内容；
10) 其他，包括但不限于败坏社会风俗、有违基本道德的；
b. 不得为任何非法目的而使用网络服务系统；
c. 遵守所有与网络服务有关的网络协议、规定和程序；
d. 不得利用本产品提供的服务进行任何可能对互联网的正常运转造成不利影响的行为；
e. 不得利用本产品提供的服务进行任何不利于菲助的行为；
f. 如发现任何非法使用用户帐号或帐号出现安全漏洞的情况，应立即通告本产品运营方；
g. 如用户在使用网络服务时违反上述任何规定，菲助有权要求用户改正或直接采取一切必要的措施（包括但不限于删除用户张贴的内容、暂停或终止用户使用网络服务的权利）以减轻用户不当行为而造成的影响；
h. 菲助将通过网站、软件等相关页面公布、更新、调整用户违规行为的相关标准，用户同意接受该等标准，共同保持健康的网络环境。用户不得发布低俗内容，包括但不限于：
1) 衣冠不整、不文明、不雅观、不卫生等令普通人不能容忍的形象出现在公开视频；
2) 播放或使用粗俗的以及有违伦理道德的语言和行为、不雅的背景音乐或伴奏音乐；
3) 裸露全身或胸部、臀部、大腿内侧等不宜外露的部位；
4) 严禁展示枪支刀具、进行高危表演。如晃动刀具、枪支、高仿真枪支、表演具有高度危险性的节目等；
5) 严禁表演危害他人人身安全的节目。如：殴打他人、以枪支刀具威胁他人等；
6) 严禁宣传传销机构、哄骗用户加入传销组织、或本人组织传销；
7) 严禁表演危害自身安全的节目，如自杀、自残；
1. 用户同意菲助对其在使用本产品过程中产生的语音对话内容进行录音、保存。用户同意菲助对该录音文件在全世界范围内具有永久性的、不可撤销的权利和免许可费、可完全转授的权利。
2. 用户有权并同意、许可其视频聊天对象对语音对话内容的录音进行分享、转载等有偿或无偿的操作，由此产生的任何与第三人的纠纷，菲助不承担任何责任。
3. 用户向菲助作出的上述授权是独家的，任何除菲助、用户以外的第三方未经菲助同意，不得将该录音的任何内容进行复制、修改、编辑、转让、使用或其他任何用途。用户同意向菲助做出一项授权，授权菲助向第三方开展法律行动以维护用户与菲助的合法权益。
4. 为了运营和改善本产品的技术和服务，菲助将可能会收集使用或向第三方提供用户的非个人隐私信息，这将有助于向用户提供更好的用户体验和提高我们的服务质量。
5. 一般而言，菲助基于下列原因需要使用到用户的信息资源：（1）执行服务所需的验证服务、升级服务；（2）为提高使用安全性等原因或提供客服支持；（3）提供服务公告或您感兴趣的信息，包括但不限于向您发出产品和服务通知；（4）将各种非个人隐私数据用于商业目的，包括但不限于向第三方提供增值服务、广告、定位广告、营销、联合注册其它服务、促销或其它任何活动（统称为“商业活动”）；（5）在用户参与抽奖、竞赛或类似推广活动时，将用户信息用于管理此类活动；（6）其他有利于用户的或有利于软件、网络服务功能改进的使用。
6. 菲助及其关联公司可互相分享用户信息，并按本隐私政策使用该信息。在不透露单个用户隐私资料的前提下，菲助有权对整个用户数据库进行分析并对用户数据库进行商业上的利用。
1. 支付标准：每分钟0.17美元；即用户使用本产品，与其视频聊天对象，通话满一分钟，菲助科技向其支付0.17美元的费用。
2. 支付时间：
(1) 北京时间周四或周五（逢中国法定节假日相应顺延）；
(2) 前述支付时间可能因银行、税务等原因延后，菲助对此不承担责任；
3. 支付方式：paypal转账。
4. 关于费用支付，包括但不限于支付标准、支付时间以及支付方式，菲助有权根据公司情况和市场行情等因素视情况调整。
1. 用户明确同意其使用本产品提供的服务所存在的风险将完全由其自己承担；因其使用本产品而产生的一切后果也由其自己承担，菲助对用户不承担任何责任。
2. 菲助不保证服务一定能满足用户的要求，也不保证服务不会中断，对服务的及时性、安全性、准确性也都不作保证。
3. 对于因不可抗力或菲助无法控制的原因造成的网络服务中断或其他缺陷，菲助不承担任何责任。
1. 如因系统维护或升级的需要而需暂停网络服务，菲助将尽可能事先在重要页面进行通告。
2. 如发生下列任何一种情形，菲助有权随时中断或终止向用户提供服务而无需通知用户：
a. 用户提供的个人资料不真实；
b. 用户违反本协议中规定的使用规则；
c. 用户在使用收费网络服务时未按规定向菲助支付相应的服务费。
3. 除前面所述情形外，菲助同时保留(在有正当理由的情况下）在不事先通知用户的情况下随时中断或终止部分或全部服务的权利，对于所有服务的中断或终止而造成的任何损失，菲助无需对用户或任何第三方承担任何责任。
1. 用户同意保障和维护菲助及其他用户的利益，如因用户违反有关法律、法规或本协议项下的任何条款而给菲助或任何其他第三人造成损失，用户同意承担由此造成的损害赔偿责任。
2. 用户同意，在法律允许的情况下，因菲助违反本协议造成用户损失而需要向用户支付的任何、全部赔偿款的总额不应超过用户使用本产品支付的服务费。
1. 本协议的订立、执行和解释及争议的解决均应适用中国大陆地区法律。
2. 如双方就本协议内容或其执行发生任何争议，双方应尽量友好协商解决；协商不成时，任何一方均可向菲助所在地的人民法院提起诉讼。
1. 本协议项下所有的通知均可通过重要页面公告、电子等方式进行；该等通知于发送之日视为已送达收件人，纸质邮件发出后的第七日视为送达。
2. 用户对于菲助的通知应当通过以下联系信息进行送达。

1. 本协议构成双方对本协议之约定事项及其他有关事宜的完整协议，除本协议规定的之外，未赋予本协议各方其他权利。
2. 如本协议中的任何条款无论因何种原因完全或部分无效或不具有执行力，本协议的其余条款仍应有效并且有约束力。
3. 本协议以中文完成起草和制定，若英文译本与中文有异，以中文版本为准。
